General Terms of Sale and Delivery – Printca A/S
 

1. Preamble

All sales made by Printca A/S (hereinafter referred to as the Seller) to its customers (Buyers) are subject to these terms and conditions. Buyer’s acceptance of these terms and conditions shall be made by either (i) Buyer placing a purchase order with Seller or (ii) Buyer’s acceptance of any product from Seller. Exceptions to or deviations from these Terms of Sales and Delivery shall only be effective if confirmed in writing by Seller.

A quotation or offer delivered by Seller is binding for a period of four (4) weeks or as per the specific terms from the date of the quotation or offer. Prices quoted/offered are based on the technical documentations and production layouts known at the time of quotation. Any changes therein or revision changes may lead to a change in price.

2. Prices

All prices stated shall apply for delivery EX WORKS in accordance with current Incoterms inclusive of packaging but exclusive EU-pallets and frames unless otherwise quoted.

All prices are exclusive of any existing or future public tax and other costs beyond the Seller’s control. In the event of substantial changes in raw material prices based on documented changes in the exchange rate or market conditions, price adjustments may occur.

3. Payment

Terms of payment are invoice date + 30 days. In the event of delay in payment, the Buyer shall pay an interest rate of 1.5 percent of the invoice amount counted from the first due date per month or fraction of a month.

The Seller reserves the right, at his own expense, to take out a credit insurance limited to the monthly risk for each customer. The monthly risk is calculated as the sum of the ordered but not delivered goods, stock, and work in progress and amounts owed for invoiced but not yet paid deliveries.

If the Buyer is not able to obtain such insurance coverage due to financial conditions, the Buyer shall be able to provide an alternative kind of financial security to the Seller upon request; alternatively, a different kind of terms of payment can be agreed upon.

4. Delivery

If delivery is delayed due to force majeure or as a consequence of actions or omissions on part of the Buyer including but not limited to modifications to units, the time of delivery shall be postponed to the extent considered fair based on the circumstances. This shall apply even if the cause of delay should occur after the originally agreed time of delivery. Any penalty related to defects or delay in delivery shall not be accepted.

Force majeure includes events, which prevent delivery or make delivery unreasonably onerous, and the influence of which on delivery could not be foreseen at the conclusion of the agreement including but not limited to industrial disputes and any other condition, which is beyond the control of the Seller, such as fire, war, mobilizing or military call-up to a corresponding extent, requisition, impounding, exchange control regulations, strikes, riots and civil disorder, lack in means of transport, general scarcity of goods, restrictions in motive force and defects in or delay of supplies from sub-suppliers, which are owed to the circumstances mentioned. Force Majeure shall be evaluated based on the place of production at which the units are actually produced or will be produced.

5. Liability for Defects

The Seller warrants supplied printed circuit boards to be free from defect in material and workmanship for a period of 12 months, unless otherwise stated in the quotation. The obligation under this warranty is limited to making good, at the Sellers premises, any part thereof which is returned to the Seller and which examination reveals to Seller’s satisfaction that the goods are in fact defective. At the Seller’s sole discretion such defective products will be replaced or repaired. For obvious visible defects the Seller shall be notified inside a period of three months from date of delivery. All warranties are based on a return to Seller basis. All returns must be prepaid by the Buyer at the Buyer’s expense. In the event that the Seller is required to visit the Buyer’s site to determine whether or not a product is defective, all costs incurred, including but not limited to travel expenses and accommodation, will be at the Buyer’s expense.

The Buyer shall not be entitled to demand a reduction in the purchase price or cancel the purchase. This warranty is conditioned on the fact that the product is stored, processed and treated as prescribed by Seller. Redelivery will take place as quickly as possible.

Special attention should be directed to warranty regarding solderability, which is subject to code of practice for storage specified by the Seller.

6. Product Liability - Limitation

The Seller shall only be liable for personal injury or property damage caused by the printed circuit boards sold if it can be established that the injury or damage was caused by faults or negligence for which the Seller is liable or committed by others for whom the Seller is responsible. Property damage shall be limited to DKK 500,000 per year.

The Buyer shall indemnify the Seller if the Seller is deemed liable to any third party to the same extent to which the Seller’s liability is limited in relation to the Buyer.

In no event shall the Seller be liable to the Buyer or any other person/ third party for any indirect, special, incidental or consequential losses or damages connected with the use of the product. Such losses or damages for which the Seller shall not be liable include, but are not limited to, lost time and convenience, loss of use of the product, the cost of product recall and loss of revenue or profits.

7. Arbitration

If agreement cannot be reached through negotiation, any dispute between the parties arising from the agreement or these present terms of sale and delivery shall be settled by arbitration in Copenhagen in accordance with Danish Law.

8. Vereinbarung über Eigentumsvorbehalt (N/A outside Germany)

8.1. Wir liefern nur auf der Basis des nachstehend näher geschilderten Eigentumsvorbehaltes. Dies gilt auch für alle zukünftigen Lieferungen auch wenn wir uns nicht stets ausdrücklich hierauf berufen.

8.2. Die gelieferte Ware bleibt bis zur vollständigen Bezahlung sämtlicher Forderungen aus der Geschäftsverbindung zwischen uns und dem Besteller unser Eigentum (Vorbehaltsware).

8.3. Der Besteller ist berechtigt, die Vorbehaltsware zu veräussern oder anderweitig darüber zu verfügen, sofern dies in seinem Betrieb zu den normalen Geschäften gehört. Eine Verpfändung, Sicherheitsübereignung oder Sicherungsabretung ist ihm nicht gestattet. Der Besteller ist verpflichtet, unsere Rechte als Vorbehaltseigentümer beim Weiterverkauf von Vorbehaltsware auf Kredit zu sichern.

Die dem Besteller aus der Weiterveraüsserung oder sonstigen Verfügung über die Vorbehalts- ware entstehende Forderung tritt der Besteller schon jetzt an uns ab, wir nehmen die Abtretung schon jetzt an.

8.4. Eine etwaige Be- und Verarbeitung der Vorbehaltsware nimmt der Besteller für uns vor, ohne dass für uns daraus Verpflichtungen entstehen. Bei Verarbeitung, Verbindung, Vermischung oder Vermengung der Vorbehaltsware mit anderen, nicht uns gehörenden Waren steht uns der dabei entstehende Miteigentumsanteil an der neuen Sache im Verhältnis des Rechnungswertes der Vorbehaltsware zu den übrigen Waren zu. Erwirbt der Besteller Alleineigentum an der neuen Sache, räumt er uns das Miteigentum ein und verwahrt die Sache unentgeltlich für uns. Wird die Vorbehalts-ware zusammen mit Vorbehaltswaren anderer Lieferanten weiterveräussert, und zwar gleich, ob ohne oder nach Verarbeitung, Verbindung, Vermischung oder Vermengung, so gilt die oben vereinbarte Vorausabtretung nur in Höhe des Rechnungswertes unserer Vorbehaltsware, die zusammen mit den anderen Vorbehaltswaren weiterveräussert wird.

8.5. Zur Sicherung unserer Forderungen gegen den Besteller tritt uns der Besteller auch solche Forderungen ab, die ihm durch die Verbundung des Liefergegenstandes mit einem Grundstück gegen einen Dritten erwachsen; wir nehmen diese Abtretung schon jetzt an.

8.6. Bei Zahlungsrückstand oder anderem vertragswidrigen Verhalten des Bestellers sind wir auch ohne vorherige Fristsetzung berechtigt, von dem Vertrag zurüchzutreten und die Vorbehaltsware zurückzunehmen; der Besteller ist zur Herausgabe verpflichtet. Zwecks Zurücknahme der Ware gestattet uns der Besteller unwiderruflich, seine Geschäfts- und Lagerräume ungehindert zu betreten und die Vorbehaltsware mitzunehmen. In einer solchen Zurücknahme der Vorbehaltsware liegt kein Rücktritt vom Vertrag, es sei denn, wir erklären dies schriftlich.

8.7 Der Besteller ist verpflichtet, die gelieferte Vorbehaltsware auf seine Kosten gegen Feuer, Einbruch, Diebstahl und Wasserschäden versichern zu lassen.
